Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer," "you," or "your") and MissionBridgeHQ ("Company," "we," "us," or "our") concerning your access to and use of the MissionBridgeHQ platform and services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Description of Services

MissionBridgeHQ provides a cloud-based software platform designed to help nonprofit organizations manage donor relationships, fundraising campaigns, volunteer programs, events, and other mission-critical activities (the "Services").

Account Registration and Eligibility

Eligibility

You must be at least 18 years old and have the authority to enter into this agreement on behalf of your organization to use our Services.

Account Creation

To use our Services, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring all information you provide is accurate and up-to-date

Subscription and Payment Terms

Subscription Plans

Our Services are offered on a subscription basis with various plan tiers. Pricing and features for each plan are detailed on our Pricing page.

Payment

By providing payment information, you authorize us to charge your selected payment method for the subscription fees. Payments are processed through secure third-party payment processors.

Billing Cycle

Subscriptions are billed on a monthly or annual basis, depending on your selected plan. Billing occurs on the same day each billing period.

Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by law.

Your Data and Content

Ownership

You retain all rights, title, and interest in and to any data, content, or information you upload to or create within the Services ("Customer Data"). We claim no ownership rights over your Customer Data.

License to Use Customer Data

You grant us a limited license to use, store, and process your Customer Data solely to provide and improve the Services. This license terminates when you delete your data or close your account.

Your Responsibilities

You are responsible for:

• The accuracy, quality, and legality of your Customer Data
• Obtaining necessary consents and permissions for data you collect
• Compliance with applicable data protection laws (e.g., GDPR, CCPA)
• Maintaining appropriate backups of your data

Acceptable Use

You agree not to use the Services to:

• Violate any laws or regulations
• Infringe on the intellectual property rights of others
• Transmit harmful code, viruses, or malware
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Use the Services for any fraudulent or deceptive purpose
• Send unsolicited commercial communications (spam)
• Reverse engineer, decompile, or disassemble the Services

Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other content (excluding your Customer Data), are owned by MissionBridgeHQ and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the relationship and not to disclose such information to third parties without prior written consent.

Warranties and Disclaimers

Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Services. We may perform scheduled maintenance with advance notice when possible.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MISSIONBRIDGEHQ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Indemnification

You agree to indemnify, defend, and hold harmless MissionBridgeHQ from any claims, damages, losses, or expenses (including attorney fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

Termination

We may suspend or terminate your access to the Services if you violate these Terms or engage in conduct that we determine is harmful to other users, us, or third parties.

Upon termination, your right to use the Services immediately ceases. You may export your Customer Data within 30 days of termination, after which we may delete it.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or platform notification at least 30 days before they take effect. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of [Jurisdiction], without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with [Arbitration Rules].

Miscellaneous

Entire Agreement

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
